Terms and conditions of service

These terms and conditions govern the sourcing, support and logistics services provided under the trading name China Access by SBS Limited, a company incorporated under Hong Kong law with its registered office in Kwun Tong, Hong Kong (hereinafter "the Provider"), to its clients (hereinafter "the Client").
1. Purpose
The Provider offers intermediation and support services relating to sourcing and importing from China: supplier research and vetting, negotiation, product development, quality control, order management and logistics arrangement.
2. Quotations and orders
Every assignment is the subject of a quotation or a detailed proposal. Work begins once the Client has accepted in writing and, where applicable, paid the agreed deposit.
3. Prices and payment
Prices, payment terms and due dates are set out in each quotation.
4. Provider’s obligations
The Provider undertakes to carry out its assignments with diligence and professionalism. It acts as an intermediary: contracts of sale are concluded between the Client and the suppliers, unless agreed otherwise.
5. Client’s obligations
The Client undertakes to supply accurate and complete information about their requirements, and to meet the agreed deadlines, in particular for approving samples and orders.
6. Liability
The Provider deploys the means necessary to carry out its assignments properly. It cannot be held liable for failures attributable to suppliers, carriers or customs authorities, nor for events of force majeure.
7. Confidentiality
Each party undertakes to preserve the confidentiality of the information exchanged in the course of the assignment.
8. Governing law and disputes
These terms are subject to the law of the Hong Kong Special Administrative Region. In the event of a dispute, the parties will seek an amicable settlement before bringing proceedings before the competent courts of Hong Kong.
Where the client acts as a consumer and is resident in the European Union, this clause does not deprive them of the protection guaranteed by the mandatory provisions of their country of residence.
